Venue Partner Agreement

1. Introduction and Parties

This Venue Partner Agreement ("Agreement") governs the relationship between NetSet Ltd ("NetSet", "we", "our", "us") and you, the venue owner or authorised venue manager ("Venue Partner", "you", "your"), when you list one or more padel facilities on the NetSet Platform.

By completing the venue registration process and activating your listing, you confirm that you have read, understood, and agree to be bound by this Agreement in full. If you are registering on behalf of a company or organisation, you confirm you have authority to bind that entity.


2. Eligibility & Listing Approval

To list a venue on NetSet you must:

  • Be the owner of, or hold a valid management authority for, the facility you are listing;
  • Provide accurate, complete, and up-to-date information about your venue, courts, pricing, and opening hours;
  • Hold all necessary licences, permits, and insurance required to operate a sports facility in your jurisdiction;
  • Ensure the facility meets minimum health and safety standards.

All new venue listings are subject to review and approval by NetSet. We reserve the right to decline or revoke any listing at our sole discretion. Venues are set to "Pending" status and will only become publicly visible once approved by NetSet.


3. Venue Listing Responsibilities

3.1 Accuracy of Information

You are solely responsible for ensuring that all content in your venue listing is accurate, current, and not misleading. This includes:

  • Venue name, description, address, and contact details;
  • Court specifications (surface type, indoor/outdoor, dimensions, facilities);
  • Pricing per time slot and any seasonal or time-based variations;
  • Opening hours and any closures, maintenance windows, or blackout periods;
  • Photos and media (must be genuine images of your facility).

NetSet may remove or amend inaccurate listings without notice.

3.2 Keeping Availability Up to Date

You are responsible for maintaining accurate availability calendars. If you accept a booking via the Platform that you are unable to honour due to a scheduling error on your side, you may be subject to penalties including a fine equivalent to the booking value and suspension of your listing.

3.3 Pricing

You set your own court prices. Prices must be inclusive of applicable taxes unless NetSet instructs otherwise for a specific region. You may update pricing at any time, but changes will not apply to bookings already confirmed.


4. Bookings & Customer Obligations

4.1 Honouring Bookings

When a customer completes a booking for one of your courts, you are contractually obligated to provide that court at the confirmed time. Failure to honour a confirmed booking without acceptable cause (e.g., emergency or force majeure) may result in:

  • A full refund being issued to the customer at your cost;
  • A penalty charge applied to your account;
  • Suspension or termination of your NetSet listing.

4.2 Customer Experience

You agree to ensure that customers arriving with a valid NetSet booking reference are admitted to the court promptly and receive a safe, clean, and operational facility. NetSet may investigate and act on customer complaints regarding venue conduct.

4.3 Cancellation Policy

You must select a cancellation policy for each court listing from the options provided by NetSet. You may not unilaterally apply a stricter cancellation policy than the one displayed to customers at the time of booking.


5. Commission & Platform Fees

5.1 Platform Commission

NetSet charges a platform commission on each confirmed booking made through the Platform. The applicable commission rate is set out in your Venue Partner Dashboard and may be updated with 30 days' notice. Commission is calculated as a percentage of the court booking value (excluding any refunded amounts).

Current standard commission rate: Please refer to your Venue Partner Dashboard for your agreed rate.

5.2 Payment Processing

All customer payments are collected by NetSet on your behalf. NetSet deducts its commission and any applicable processing fees before remitting the net amount to you in accordance with the payout schedule in Section 6.

5.3 Refunds & Chargebacks

Where a refund is issued to a customer (whether due to your cancellation, a court being unavailable, or a successful chargeback), the refunded amount plus any associated payment processing fees will be deducted from your next payout. In the case of a chargeback, an additional chargeback administration fee may apply.


6. Payout Schedule

6.1 Payout Frequency

NetSet processes venue payouts on a weekly basis, every Friday, covering all completed and non-refunded bookings from the previous Monday to Sunday (the "Settlement Period").

6.2 Eligibility for Payout

A booking is eligible for payout once:

  • The booking session has taken place (i.e., the court slot date and time have passed);
  • No active refund request or dispute is pending on the booking;
  • The booking has not been cancelled.

Bookings with an active dispute are held until the dispute is resolved. If resolved in your favour, the amount is included in the next eligible payout cycle.

6.3 Payout Method

Payouts are made via bank transfer to the bank account you register in your Venue Partner Dashboard. You are responsible for providing accurate bank details. NetSet is not liable for delays or losses arising from incorrect bank information provided by you.

6.4 Payout Currency

Payouts are made in the currency agreed at the time of venue registration (typically the local currency of the venue's country). Currency conversion fees, if applicable, are disclosed in your Dashboard.

6.5 Minimum Payout Threshold

A minimum payout threshold of USD 50 (or local currency equivalent) applies. If your balance in a given week falls below this threshold, it will roll forward to the following week's payout.

6.6 Payout Statements

A detailed payout statement is available in your Venue Partner Dashboard each Friday, itemising all bookings, commissions deducted, refunds, and the net transfer amount.


7. Player & Customer Data

7.1 Data We Do Not Share With You

⚠️ As a Venue Partner, you will NOT have access to:
  • Customer full names
  • Customer mobile phone numbers
  • Customer email addresses
  • Customer payment information
  • Customer booking history across the Platform

This policy exists to protect the privacy rights of our customers and to comply with applicable data protection laws including the GDPR.

7.2 Data You Do Receive

  • Booking reference number
  • Court name and booked time slot
  • Number of players
  • A flag indicating whether the booking has been confirmed and paid

7.3 Prohibition on Independent Data Collection

You must not independently collect, record, or process personal data about NetSet customers for your own purposes beyond what is strictly necessary for the immediate delivery of the booked court session. Any data collected independently at your venue is subject to your own privacy obligations and is entirely your responsibility.

7.4 Data Breach Notification

If you become aware of any incident that may compromise the data of NetSet customers, you must notify NetSet at privacy@netset.me within 24 hours of becoming aware of the incident.


8. Intellectual Property & Branding

By uploading photos, descriptions, and other content to your venue listing, you grant NetSet a non-exclusive, worldwide, royalty-free licence to use that content for the purpose of operating and promoting the Platform.

You warrant that you own or have the right to use all content you upload, and that such content does not infringe any third party's intellectual property rights.

You may use NetSet's "Verified on NetSet" badge solely in connection with your listing. You may not otherwise use NetSet's name, logo, or branding without prior written consent.


9. Prohibited Conduct

As a Venue Partner, you must not:

  • List venues or courts that you do not have authorisation to list;
  • Post fake or misleading photos or descriptions;
  • Attempt to contact, solicit, or reroute customers who booked through NetSet to book directly with you in order to avoid Platform commission;
  • Discriminate against customers on the basis of race, gender, religion, disability, nationality, or other protected characteristics;
  • Engage in any fraudulent activity including false bookings or falsified transaction records;
  • Share or sell any customer data obtained through NetSet to any third party.

Violations may result in immediate suspension or permanent removal from the Platform, withholding of pending payouts, and/or legal action.


10. Account Suspension & Termination

10.1 By NetSet

NetSet may suspend or terminate your Venue Partner account with or without notice in the event of repeated cancellation or failure to honour confirmed bookings, material breach of this Agreement, persistent negative customer feedback or safety concerns, non-compliance with applicable laws, or any conduct that NetSet deems damaging to its reputation or to customers.

10.2 By You

You may terminate this Agreement by providing 30 days' written notice to partners@netset.me. You remain liable for all confirmed bookings within the notice period. Any pending payouts will be settled in accordance with the payout schedule after the final settlement period.

10.3 Effect of Termination

Upon termination, your listing will be deactivated and no new bookings will be accepted. NetSet will honour any confirmed bookings that fall within the notice period and remit your final payout within the standard cycle.


11. Liability

NetSet acts as a booking intermediary and technology platform. NetSet is not liable for:

  • Injuries or accidents occurring on your premises;
  • Disputes between you and customers that arise outside the scope of the booking;
  • Loss of revenue arising from Platform downtime, provided we use reasonable endeavours to maintain availability;
  • Force majeure events beyond our reasonable control.

Your aggregate liability to NetSet under this Agreement shall not exceed the total commission paid to NetSet in the three months preceding the event giving rise to the claim. Nothing in this Agreement limits either party's liability for fraud or gross negligence.


12. Governing Law

This Agreement is governed by and construed in accordance with the laws of England and Wales (or the jurisdiction of NetSet's principal place of business). Any disputes shall be subject to the exclusive jurisdiction of the courts of that jurisdiction, except where mandatory local laws provide otherwise.


13. Changes to This Agreement

NetSet may update this Agreement at any time. We will notify you via your registered email address and/or in-Platform notification at least 30 days before material changes take effect. Continued operation of your listing after the effective date constitutes acceptance of the updated terms.
